By accessing or using Ellis AI ("Service"), operated by Langstroth ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Ellis AI is an artificial intelligence-powered voice agent platform that provides:

  • Automated lead qualification and scoring using advanced emotional intelligence analysis
  • AI-powered voice calling and conversation management
  • Integration with CRM systems and business tools
  • Analytics and reporting on lead quality and conversion metrics
  • Outbound calling campaigns and lead management
  • Real-time emotional analysis and behavioral scoring

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

Ellis AI offers various subscription plans with different features and usage limits:

  • Starter Plan: Pay-per-call model starting at $1.00 per voice call
  • Pro Plan: Bulk credit packages with discounts up to 15%
  • Premium Plan: High-volume packages with dedicated support

All payments are processed through secure third-party payment processors. Credits purchased do not expire and are non-refundable except as required by law. You authorize us to charge your payment method for all fees and charges incurred.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Transmit or store malicious code, viruses, or harmful content
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for spam, harassment, or fraudulent activities
  • Reverse engineer, decompile, or disassemble the Service
  • Resell or redistribute the Service without authorization

6. Data Collection and Privacy

We collect and process various types of data to provide and improve our Service:

  • Lead Information: Contact details, qualification scores, conversation data
  • Emotional Analysis: Real-time emotional state detection and behavioral patterns

All data is processed in accordance with our Privacy Policy and applicable data protection laws. We implement industry-standard security measures to protect your data.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Langstroth and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service.

You retain ownership of your content and data. By using the Service, you grant us a limited, non-exclusive license to use your data solely to provide and improve the Service.

8. Third-Party Integrations

Ellis AI integrates with various third-party services including:

  • Hume AI: For emotional intelligence and voice processing
  • Twilio: For telephony services and call management
  • CRM Systems: Salesforce, HubSpot, Pipedrive, GoHighLevel
  • Payment Processors: Stripe, Lemon Squeezy
  • Calendar Systems: Google Calendar, Microsoft Outlook

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their availability.

9. Service Availability and Uptime

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We aim for 99.9% uptime but do not provide service level guarantees unless specifically agreed upon in writing.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANGSTROTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any damages arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is lower.

11. Indemnification

You agree to defend, indemnify, and hold harmless Langstroth and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by contacting our support team. Upon termination, your data will be retained according to our data retention policies and applicable law.

13. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed by the laws of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms constitute the sole and entire agreement between you and Langstroth regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
